Terms of service

Definitions:
The words herein stated have the following definitions:
SCALE 1:1 shall mean the company designing, manufacturing, distributing and wholesaling furniture & lighting products to the dealer.
Dealer shall mean the authorized and licensed reseller of Scale 1:1 products with rights, responsibilities and commitments herein defined.
Products shall mean the collection of photos containing copy written pictures and all sales collateral materials supplied by SCALE 1:1 to the Dealer, and or any of SCALE 1:1 products inventoried by dealer for resale.
Net Sales shall mean gross revenue resulting from any and all products found within the SCALE 1:1 product list, less shipping, handling and all applicable sales taxes and returns.
Sales shall mean any and all sales resulting from the aforementioned products including but not limited to orders received via web site, email, fax.
End User shall mean the end buyer, shopper, consumer, purchasing individual of Scale 1:1 products from the dealer.

Term:
Dealer and SCALE 1:1 agree that terms and conditions herein stated shall commence on the date in which the dealer’s application is signed by Dealer and returned to Scale 1:1. Business between SCALE 1:1 and Dealer is effective on such date and shall continue for period of 6 months, and for as long thereafter mutually agreed between both companies. SCALE 1:1 will provide product fulfillment for all sales obtained by Dealer in regards to any images and product specs supplied by SCALE 1:1.
Dealer understands that all SCALE 1:1 products are made to order. Dealer agrees to lead time established by SCALE 1:1 and SCALE 1:1 agrees to ship the order as soon as the order production is finished and payment is received.
SCALE 1:1 is not involved in the actual transaction between the Dealer and End User. SCALE 1:1 is not the agent of either the Dealer or the End User.
SCALE 1:1 retains all rights to all sales collateral provided to the dealer and retains the right to prohibit the use of any and all images provided to Dealer other than for the purpose to gain sales.
Termination of authorized dealership: If the dealer or SCALE 1:1 is not satisfied with the program defined by this agreement and the results thereof, either party may terminate this agreement at anytime.

Sales Terms:
Dealer receives a grace period of 3 months to introduce SCALE 1:1 products to all dealers clientele. Dealer commits to promote SCALE 1:1 products along with other brands and manufacturers on dealers website. SCALE 1:1 website must shown on Dealer’s website linked to SCALE 1:1 website. Dealer commits to create a marketing campaign to showcase and promote SCALE 1:1 products via its selected digital marketing platforms, social media, print ads, events and others marketing resources available.

Preferred Dealers Program:
Consistency of purchase orders = Preferred Dealers.
Dealers who submit two purchase orders per month will immediately have special positioning with SCALE 1:1 to become Preferred Dealers. As a preferred dealer, SCALE 1:1 will provide project leads, additional discounts on selected items, and addition to our social media posts ad campaigns.

50/20 Dealer Discount
Dealer’s price: 60% percent discount from the M.S.R.P / list price / Freight: Will Call
Pick up location: SCALE 1:1 Warehouse located at 1912 E. 7th Place Los Angeles, CA 90021.
SCALE 1:1 provides quotes with freight included upon request.

Payment Terms:
A 50% deposit for the order is required, prior to production starts. The invoice balance must be paid in full by or on shipping date.
All orders are FOB Scale 1:1 Warehouse in Los Angeles.

Accepted Payment Terms: Business check, wire transfer, direct deposit, ACH, Credit Card.

SCALE 1:1 will charge a fee of $30 for each returned check and will no longer accept checks after a second returned check. For payments over $3,000 a 1.5% transaction fee is applicable.

Orders Processing:
Orders must be sent via Purchase Order form, to orders@scale1to1.com. The purchase order should contain: Dealer's letterhead, PO number, billing address, shipping address, terms of payment and the list products / SKUS (product id), including finishes and sizes specifications and reference number for each item, with respective quantities and dealer prices. A dealer’s written purchase order will be considered an offer to purchase goods identified on the Purchase Order. Pos must be duly revised on the dealer’s end to ensure that all items are correct. SCALE 1:1 is not responsible for wrong quantities, SKUS or specifications mistakenly written. Dealer is responsible to confirm all compatible electrical and accessories to avoid ordering the wrong items and required quantities. POs received via email do not require signature. Once the PO is received, the Dealer will receive an email confirmation with the respective order invoice attached. The invoice shall state the shipping date (estimate) payment info, and order number.
Option: Shall dealer approve Quote from SCALE 1:1. The quote approved and signed by the dealer may also be submitted to SCALE 1:1 orders@scale1to1.com as form of new purchase order. Price issued by SCALE 1:1 on quote will be valid based on the quote date. SCALE 1:1 is not obliged to honor prices of expired quotes.
Important: SCALE 1:1 Inc. does not hold inventory. All items are made in the USA (except lighting components) the estimate time available for each item is shown on the product specification cards.
Shipping dates on quotes are contingent to order approval date and may vary according to the date the order was invoiced.
